1. Agreement and Scope

By accessing or using a website, landing page, waitlist, contact form, investor or media page, or other pre-launch web property that links to these Terms (collectively, the "Website"), you agree to these Terms.

If you do not agree, do not use the Website. If you access the Website on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Pre-Launch Information

The Website may discuss products, technology, concepts, availability, launch timing, partnerships, features, pricing, territories, integrations, or other plans that are still being developed or finalized. Pre-launch information is provided for general informational purposes and may change at any time without notice.

Nothing on the Website is a guarantee that a particular product, feature, catalog, commercial relationship, launch date, price, territory, compatibility, or service will be offered or remain available. Final product terms, checkout disclosures, app-store terms, and other service-specific notices will control when applicable.

AiSound grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful, personal, informational, or legitimate business-evaluation purposes, subject to these Terms.

You may not: copy, reproduce, republish, sell, license, or commercially exploit Website content except as permitted by law or with AiSound's written permission; scrape, crawl, harvest, index, extract, or collect Website content or data through automated means except as expressly authorized; reverse engineer, probe, test, or attempt to derive source code, algorithms, models, methods, protected technology, or non-public system behavior; interfere with security, access controls, rate limits, authentication, or the proper operation of the Website; introduce malware, malicious code, denial-of-service activity, or other harmful technical behavior; impersonate another person or organization, submit false information, or use the Website for fraud, harassment, unlawful solicitation, or other unlawful conduct; or use Website content, data, or materials to train or improve a competing artificial-intelligence, audio-personalization, recommendation, or similar product without written permission.

4. AiSound Intellectual Property

The Website and its content, including AiSound names, logos, designs, text, graphics, audio, video, software, interfaces, documentation, technology descriptions, and other materials, are owned by AiSound or its licensors and are protected by applicable intellectual-property laws. Nothing in these Terms transfers ownership or grants a license to AiSound patents, trademarks, trade secrets, copyrights, technology, or other proprietary rights except the limited Website-use right expressly stated above.

You may not use AiSound names, logos, marks, or confusingly similar branding without prior written permission, except as otherwise permitted by law.

5. Submissions and Feedback

If you voluntarily send AiSound suggestions, ideas, concepts, comments, or other feedback about the Website or AiSound products ("Feedback"), you agree that AiSound may use, modify, and commercialize that Feedback without restriction or compensation. Do not send confidential, proprietary, or third-party information through general Website forms unless AiSound has agreed in writing to receive it confidentially.

Information you submit through a contact, waitlist, inquiry, or similar form must be accurate and lawful. Your submission does not create an employment, agency, partnership, investment, licensing, or other relationship unless AiSound separately agrees in writing.

Website statements concerning sound personalization, hearing-aware experiences, listening preferences, accessibility, wellness, or related technology are provided for general informational and product-description purposes. Unless a specific product is expressly identified as a regulated medical product, Website content is not medical advice, diagnosis, treatment, an audiological evaluation, or a substitute for professional care.

If you have hearing loss, ear pain, tinnitus, sudden hearing changes, dizziness, or another medical concern, consult a qualified health-care or hearing professional.

9. No Investment or Professional Advice

Nothing on the Website constitutes legal, financial, investment, tax, medical, or other professional advice. This section applies only to the maximum extent permitted by law and does not exclude liability that cannot legally be excluded or limited.

To the maximum extent permitted by law, AiSound, its affiliates, directors, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or cost of substitute services arising out of or relating to the Website or these Terms, even if advised that such damages are possible.

To the maximum extent permitted by law, AiSound's aggregate liability for all claims arising out of or relating to the Website or these Terms will not exceed the greater of US $100 or the amount, if any, you paid directly to AiSound for access to the Website during the 12 months before the event giving rise to liability.

13. Indemnification

To the extent permitted by law, if your unlawful or unauthorized use of the Website, your submissions, or your violation of these Terms causes a third-party claim, you agree to indemnify and hold harmless AiSound and its affiliates, officers, directors, employees, and agents from resulting claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees. This obligation does not apply to the extent prohibited by applicable consumer law.

14. Suspension and Termination

AiSound may restrict or terminate your access to the Website when reasonably necessary to protect the Website, users, AiSound, third parties, or legal rights; to address security or fraud concerns; or to respond to violations of these Terms or applicable law. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnification, and governing-law provisions.

15. Governing Law

Except to the extent federal law applies or local law gives you non-waivable rights, these Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. For disputes relating solely to the Website that are not otherwise required to be heard in another forum by applicable law, you and AiSound consent to jurisdiction in the state courts located in Davis County, Utah, or the United States District Court for the District of Utah, as applicable.

16. Changes to These Terms

AiSound may update these Terms from time to time. The "Last updated" date above will identify the current version. If changes are material, AiSound may provide additional notice where required by law. Your continued use of the Website after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

17. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law. AiSound's failure to enforce a provision is not a waiver. You may not assign these Terms without AiSound's written consent; AiSound may assign them in connection with a merger, acquisition, reorganization, financing, sale of assets, or by operation of law, subject to applicable law. These Terms, together with any policies expressly incorporated by reference, constitute the agreement governing your use of the Website.
